1. Project Scope & Deliverables
Designer agrees to design and develop a website for Client with the following specifications:

3. Payment Schedule

4. Revisions
This contract includes 2 rounds of revisions per project phase (wireframes, design, development). A "revision round" means one consolidated list of changes submitted within 5 business days of delivery.

5. Intellectual Property & Ownership
Upon receipt of full and final payment, Client receives full ownership of all custom design assets and deliverables created specifically for this project.
Designer retains the right to display the work in their portfolio. Designer retains ownership of proprietary frameworks, code libraries, templates, and any third-party tools used in development. Third-party licenses (themes, plugins, stock images) are subject to their respective terms.

6. Client Responsibilities
Client is responsible for: providing all content (text, images, logos, brand guidelines) within 7 days of signing; timely feedback within 5 business days of each deliverable; domain and hosting costs; ongoing maintenance after launch unless a separate maintenance agreement is signed.

7. Term & Termination
Either party may terminate this Agreement with 14 days' written notice. Upon termination, Client pays for all work completed to date at a pro-rated rate. The deposit is non-refundable. Designer will deliver all completed files upon receipt of final payment for work performed.
8. Limitation of Liability
Designer's total liability shall not exceed the total fees paid by Client under this Agreement. Designer is not liable for indirect, incidental, or consequential damages including lost revenue, lost data, or business interruption.
9. Governing Law
This Agreement is governed by the laws of the State of [Your State]. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in [Your City, State].
