1. Scope of Services
Service Provider agrees to perform the following services for Client:

2. Compensation & Payment

3. Term
This Agreement commences on March 5, 2026 and continues until services are completed, estimated to be April 5, 2026, unless terminated earlier in accordance with Section 7 below.
4. Intellectual Property
Upon receipt of full payment, Service Provider assigns to Client all rights, title, and interest in the final deliverables. Service Provider retains the right to display the work in their portfolio.

5. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during this engagement, including business plans, pricing, client lists, and technical data. This obligation survives termination of the Agreement for a period of 2 years.
6. Independent Contractor
Service Provider is an independent contractor and not an employee, partner, or agent of Client. Service Provider is responsible for all applicable taxes, insurance, and compliance with applicable laws.
7. Termination
Either party may terminate this Agreement with 7 days' written notice. Upon termination, Client shall pay for all work completed to date. Service Provider shall deliver all completed work product to Client.
8. Governing Law
